Essential: - 3- 4 years of experience in a listed entity (top 100 companies in India)

Compliance Reporting and Analysis:
- Institutionalize the existing compliance process in the Company.
- Regular follow up with the line function to ensure closure of compliances on the portal and submission of compliance certificate along with CAPA for all no- compliances
- Monthly/Quarterly performance report to be circulated to process owners/Hierarchy.
- Compliance Analysis based on Risk rating (HML) for Hierarchy.
- Analysis of non-compliances, Quarter on quarter comparison and follow-up for closure of CAPA imitated by the line function

- Interaction with Companies to understand their compliance
monitoring process and platform used.
- Ensuring updation of latest rules and regulations on the compliance platform.
- Regular interaction with Experts on the laws. Amendments in rules and regulations
- Conducting meeting at regular intervals with Plants and Sales team to understand issues, discuss CAPA and other compliance related issues
- Conducting audit of the compliances by visiting various locations.
- Regular meeting with IT to work on additional requirements/functionalities, user issues and stability of the portal.
Secretarial & Legal Activities:
- Compliance under the Companies Act, 1956 and rules and regulations issued by SEBI and other regulatory authorities
- Overseeing the R&T operations, dividend distribution, AGM related, subsidiary compliance, etc
- Impact understanding and complying with the provisions of the Act Complying with the provisions of Companies Act, 2013 and and Amended Listing Agreement - w.e.f 1st October, 2014. Detailed /focused study of the Act of 2013 and rules, awareness/ knowledge sessions with the stakeholders
- Compliance with the provisions of the Insider Trading Regulations, Takeover Regulations and other SEBI regulations
- Compliance with FEMA and RBI regulations including amendments / new provisions on Outbound capital transactions - Joint Ventures / Wholly owned subsidiaries, Corporate Guarantees / Loan transactions - Inbound / Outbound Imports/ Exports Foreign currency transactions Returns / reports to Reserve Bank of India
Merger and Acquisitions:
- Drafting of various agreements / documents in the entire process, checking on applicable laws and ensuring they are followed in completing the M&A, engagement with consultants and lawyers - having strong relationships with lawyers /consultants, cross - border transactions, understanding foreign laws, research
